AI Acceptable Use Policy

Scope. This AI Acceptable Use Policy (the “Policy”) applies to customers’ and their users’ use of all products offered by Pierce Ridge Technologies Inc. (“PRT”), or third-party products that operate with products offered by PRT, that incorporate artificial intelligence (collectively, the “Covered AI Tools”). A customer that has access to any Covered AI Tools, together with its individual authorized users, is referred to in this Policy as a “Customer.” Any agreement governing, directly or indirectly, a Customer’s purchase, subscription, license, or use of Covered AI Tools is referred to as an “Applicable Agreement.” A violation of this Policy is a material breach of each Applicable Agreement.

1. Compliance with Laws

Customers must use all Covered AI Tools in compliance with all applicable laws and this Policy. Customers are responsible for determining which laws apply to their use of Covered AI Tools. PRT is not responsible for determining the legality of Customers’ access to or use of the Covered AI Tools.

2. Modifications

PRT may change this Policy by posting an updated version on PRT’s website, and such updates will be effective upon posting. Customers remain responsible for routinely reviewing PRT’s policies, procedures, and other documentation applicable to customers and keeping themselves apprised of any changes. A Customer’s continued use of the Covered AI Tools after the effective date of the modifications will be deemed acceptance of the modified terms.

3. Respecting Intellectual Property Rights

Customers must not enter input into the Covered AI Tools (“Input”) that specifically includes materials that may contain the intellectual property rights of a third party unless the third party has provided approval for such use. Additionally, Customers must consider whether output from any Covered AI Tools (“Output”) will contain material that may be protected by the intellectual property rights of a third party or the publicity rights of an identifiable individual. Human review of the Output must identify and remove material present in the Output that may infringe a third party’s intellectual property or publicity right.

4. Transparency

Customers must disclose the use of Covered AI Tools to individuals interacting with the Covered AI Tools. Customers must ensure that use of the Covered AI Tools does not deceive individuals by misrepresenting Output generated through Covered AI Tools as human-generated content. Additionally, if a Covered AI Tool records an individual’s use of that tool, the Customer’s user must disclose the recording to the individual before the individual interacts with the Covered AI Tool.

Customers are responsible for determining the content and placement of any notices required by this Policy and/or applicable law.

Customers must keep accurate records of such notices in connection with the Covered AI Tools. Upon written notice, PRT has the right to request that a Customer provide evidence of such notices.

5. Recognizing Risks Associated with Output

The technology used in the Covered AI Tools is always evolving and is not perfect. Output may be inaccurate or unsuitable for the use case. Additionally, Output can be misleading or deceptive. While PRT makes reasonable efforts to provide up-to-date Covered AI Tools, Customers are responsible for recognizing the inherent risks associated with using the Covered AI Tools and must be diligent in:

  • reviewing Output to ensure the information is accurate, non-deceptive, and fit for purpose;
  • keeping a human in the loop and ensuring there is oversight in the deployment and use of every Covered AI Tool;
  • being aware of and knowledgeable about requirements set forth in any third-party terms and conditions applicable to the use of a Covered AI Tool and abiding by those terms and conditions;
  • ensuring that use of the Covered AI Tools and any Output does not harm the reputation of the Customer or PRT; and
  • using accurate Input.

6. Prohibited Uses

Customers shall not use a Covered AI Tool, nor allow any third party to use a Covered AI Tool, for the following purposes:

  • Automated decision-making processes having legal effects. If a Covered AI Tool is used in such a manner, the Customer must ensure that the final decision is made by a human.
  • Individualized Advice from Licensed Professionals. A Covered AI Tool cannot be used to generate individualized advice that would normally be provided by a licensed professional, e.g., medical advice, legal advice, and/or financial advice. This does not prohibit a Customer from using a Covered AI Tool for customer support in regulated industries; however, to the extent such customer support involves individualized advice, a human must review the advice.
  • Predicting Protected Characteristics. Covered AI Tools cannot be used to predict or infer protected characteristics of a person, e.g., age, gender, disability, or race. Additionally, Covered AI Tools cannot be used to gather images from individuals to create or analyze biometric information for inferring characteristics of the individual.
  • Deceptive or Illegal Activity. Covered AI Tools cannot be used for any deceptive activity, including but not limited to impersonation, plagiarism, theft of intellectual property, and transferring false information. Additionally, Covered AI Tools cannot be used to create, send, display, process, or transfer any material that is not in compliance with applicable laws, including but not limited to material used to perpetrate online harassment (including sexual harassment), child pornography, slavery, abuse, cybersecurity breaches, or espionage.
  • Unethical Activity. Covered AI Tools must be used in an ethical, non-discriminatory, and non-biased manner. Actions such as bullying, abuse, intimidation, and discrimination conducted through the use of the Covered AI Tools are strictly prohibited.
  • Security Abuse and Prompt Injection Attacks. Customers may not attempt to circumvent, probe, disrupt, disable, or otherwise interfere with the integrity, security, or intended operation of the Covered AI Tools. This includes, but is not limited to, engaging in prompt injection, prompt leaking, adversarial testing, or any other activity intended to manipulate or mislead a Covered AI Tool, gain unauthorized access to data, or bypass usage restrictions or content safeguards.
  • Violation of an Individual’s Privacy. Covered AI Tools cannot be used in any way that compromises or violates the legal rights (including the rights of publicity and privacy) of any person, including by:
    • accessing, collecting, soliciting, processing, disclosing, or sharing personal data in any manner that does not strictly comply with laws and any disclosures;
    • conducting unlawful monitoring, tracking, or surveillance of individuals; or
    • using or distributing digital replicas in any manner that does not strictly comply with laws, including, without limitation, all disclosure, consent, and authorization requirements imposed by laws.

8. Enforcement of Policy

PRT may monitor a Customer’s use of the Covered AI Tools to evaluate the Customer’s compliance with this Policy and to investigate any suspected or reported alleged violation by the Customer. Any violation of this Policy by a Customer constitutes a material breach of the Applicable Agreement. If PRT, in its sole discretion, determines that a Customer has violated this Policy, PRT may:

  • Terminate or suspend the Customer’s access to all or part of the Covered AI Tools.
  • Take appropriate legal action, including, without limitation, referral to law enforcement or any authority, for any illegal or unauthorized use of the Covered AI Tools.
  • Take any and all action available to PRT under the Applicable Agreement.

Without limiting the foregoing, PRT has the right to fully cooperate with any law enforcement authorities or court order requesting or directing PRT to disclose the identity or other information of anyone who accesses or uses the Covered AI Tools. CUSTOMER WAIVES AND HOLDS HARMLESS PRT FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY PRT DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER PRT OR LAW ENFORCEMENT OR OTHER AUTHORITIES.
